SPA Lawyer in Selangor: What to Check Before Signing a Subsale Property SPA

Buying or selling a property involves more than signing a Sale and Purchase Agreement, commonly called an SPA. The practical position may also depend on earlier documents, financing arrangements, title matters, payment conditions and the steps required before completion and possession.

Our real estate practice assists with Sale and Purchase Agreements, property transactions, land and title matters, due diligence and completion documentation.

First, identify whether you are buying a subsale or developer property

The type of property transaction determines the documents and legal requirements that need to be considered. A subsale purchase from an existing owner is different from purchasing a new property directly from a developer.

Subsale property

The transaction generally requires close attention to the agreed commercial terms, existing ownership and title position, deposits already paid, financing, redemption requirements, completion obligations and possession arrangements.

Developer purchase

Where the purchase falls within a regulated housing development, prescribed forms and statutory requirements may apply. It should not automatically be approached as though the agreement were a freely negotiated subsale contract.

The questions below focus mainly on a subsale transaction. Our Sale and Purchase Agreement legal services form part of our broader real estate practice.

What have you already agreed to before the SPA?

An SPA review should start with any commitments already made. Before the agreement is finalised, provide any signed offer, acceptance, booking document, deposit receipt and relevant correspondence relating to the proposed purchase or sale.

The name given to a payment does not by itself determine what happens to it if the transaction does not proceed. A payment described as a “booking fee” or “deposit”, for example, must be considered together with the documents, conditions and circumstances surrounding the payment.

Useful information to identify at this stage includes:

  • how much has already been paid;
  • who received or is holding the payment;
  • what document or acknowledgement was signed;
  • whether any conditions were stated;
  • whether a financing condition was discussed or recorded; and
  • what deadlines or proposed signing dates have already been given.

A useful SPA discussion starts with the documents, payments, conditions and deadlines that already form part of the transaction.
Practical point: If you have already signed or paid something, bring the actual document and receipt to the discussion. The SPA should not be reviewed in isolation from earlier commitments.

How does financing affect your SPA obligations?

A loan application, loan approval and actual release of financing are separate stages. If your purchase depends on financing, raise this before signing so the relevant transaction documents and conditions can be considered properly.

Do not assume that a rejected or reduced financing application automatically gives a buyer the right to cancel and recover every payment. Equally, financing difficulties should not automatically be assumed to result in forfeiture. The position depends on the applicable documents, law and circumstances.

A practical review should distinguish between what you are contractually required to pay and what still depends on your financier, the seller, an existing financier, a relevant authority or another transaction party.

Where financing is involved: confirm who has been appointed for the SPA and who is handling the financing documentation. Our banking and finance practice includes facility and security documents, review of lending terms and transaction completion support. The scope of each appointment should be confirmed for the particular transaction.

When does the SPA completion period begin?

The completion period is the contractual timeframe within which the relevant payment and completion obligations must be fulfilled. Its starting point, any conditions that must first be satisfied, extension provisions and consequences of delay should be understood from the actual SPA.

The transaction may also involve approvals, redemption of an existing financing facility, title documentation, consent requirements or other steps that affect how completion is carried out.

Buyers should therefore avoid treating an estimated completion date as a guaranteed moving-in or renovation date. Check what the agreement says about completion, payment of the balance purchase price and delivery of possession before making firm arrangements with movers, contractors or tenants.

What property and title matters should be checked?

The legal process depends on the property's ownership and title documentation. Relevant matters may include ownership records, the title position, registered restrictions, existing charges and documents or approvals required for the proposed transfer or assignment.

For example, where a property is subject to an existing bank charge, redemption arrangements may form part of the completion process. Where an individual or strata title has not yet been issued, the documentation and completion route may differ from a transaction involving an issued title.

Ownership

Confirm the relevant ownership and transaction documents.

Title position

Identify the applicable title or assignment documentation.

Existing financing

Check whether redemption or release arrangements are required.

Approvals

Identify any consent or documentation required for completion.

Signing the SPA is an important step, but it does not by itself mean that every transfer, financing or completion requirement has already been satisfied.

Property and conveyancing support

Our conveyancing practice is led by Partner Joyce Siaw, whose practice encompasses real estate, property development, commercial acquisitions, land matters and financing transactions.

The appropriate work for an individual client will depend on the nature of the property, available title documents, existing commitments, financing arrangements and the agreed scope of our engagement.

If you are selling, what should you clarify?

Sellers also need to understand the payment, redemption, documentation and handover obligations created by the transaction. If the property is financed, the process may include arrangements for redemption and release of the existing security before or as part of completion.

You should also confirm who represents you. The presence of a lawyer elsewhere in a transaction does not by itself mean that the lawyer has been appointed to advise every party.

What should you compare when appointing an SPA lawyer in Selangor?

Compare quotations on the same transaction and the same scope of work, rather than comparing a single headline amount. Professional fees are only one part of the broader property transaction budget.

Decision factor What to confirm Why it matters
Representation Who is the lawyer acting for? Clarifies whose interests and instructions the engagement addresses.
Transaction type Is it a subsale, developer purchase or another property arrangement? The documents, steps and legal requirements may differ.
Scope of work What SPA, title, due diligence and completion work is included? Shows what service is actually covered by the quotation.
Financing work Is financing or loan documentation separately appointed or quoted? Avoids assuming that all financing work is automatically part of the SPA engagement.
Fees and disbursements What professional fees, taxes, duties, searches, registration expenses and other disbursements apply? Supports more realistic transaction budgeting.
Timing What existing deadlines or conditions may affect the expected timeline? Helps align financing, payment, possession and practical planning.

For an early estimate, you can also use our Malaysia property legal fees and stamp duty calculator. The calculator is intended as a preliminary estimate; an actual quotation depends on the specific transaction, applicable charges and scope of work.

What should you prepare before discussing your SPA?

Providing the main transaction details at the beginning helps us understand the proposed deal and identify the documents that should be reviewed.

Prepare these details where available

  • whether you are buying or selling;
  • whether the property is a subsale or developer purchase;
  • the property type and agreed purchase price;
  • any offer, booking form, letter or agreement already signed;
  • receipts or evidence of payments already made;
  • available title or ownership information;
  • your current financing status and proposed financing amount; and
  • any signing, payment or other upcoming deadline.

Frequently Asked Questions

No. You can seek advice before signing an offer or making another commitment. If you have already signed a document or paid money, provide the relevant documents and receipts so those steps can be considered together with the proposed SPA.

This may be possible depending on the transaction, lender requirements, appointment arrangements and any applicable conflict considerations. Confirm who is appointed for each part of your particular transaction rather than assuming that an SPA appointment includes all financing work.

Do not assume that it does. If the relevant title is issued later, further transfer or charge documentation may be required. Ask whether future Perfection of Transfer or Perfection of Charge work is included in the current engagement, separately chargeable or outside its scope.

Not automatically. The effect of a rejected or reduced financing application depends on the documents, any financing-related conditions, the applicable law and the circumstances of the transaction.

State whether you are buying or selling, the property type, agreed price, whether it is a subsale or developer transaction, your financing position, available title information and whether you have already signed or paid anything.
